SAMPLE 2 -- MOU
Memorandum of Understanding
between
University of Innovation
and University of Leadership
The 123 Collaborative Program
This agreement is entered into this (insert day
) of (insert month ), 2004, by and between University of
Innovation (hereinafter UI) College of Agriculture and the University
of Leadership (hereinafter UL) College of Agriculture.
I. Background
The general objective of this agreement shall be to
allow for collaborative research and Extension programs in agronomy
between UI and UL to meet and assist with ongoing needs of the agricultural
industry. This Memorandum of Understanding (MOU) covers the work
of Dr. Joe Innovator during the period of July 1, 2004, through
June 30, 2007, to deliver Extension programming and conduct research
on agronomic issues (insert appropriate subject ). Toward
this end, the collaboration described below was mutually agreed
upon in earlier discussions and will cover Dr. Joe Innovator's multi-state
agronomy program.
II. Term & Termination
The terms of this agreement shall be the period of
three years from July 1, 2004, through June 30, 2007, provided,
however, that should Dr. Joe Innovator depart from UI for any reason,
prior to the stated dated of termination, this Agreement shall terminate
immediately thereupon.
III. Expectations
Dr. Joe Innovator will develop workshops and prepare
Extension publications and other educational materials relevant
to agronomy issues in the (specify location ). He will undertake
research aimed at providing solutions to current and emerging problems
related to agronomy.
Dr. Joe Innovator's office will be located at the
Research and Education Center of the University of Innovation, during
the period of the agreement.
IV. Financial Support
UL will pay UI 2/9th of the salary, fringe
benefits and expenses for Dr. Joe Innovator. The schedule for these
payments will be:
- January 1, 2005 $28,000
- January 1, 2006 $29,000
- January 1, 2007 $30,000
Should Dr. Joe Innovator cease to perform the services
for UL provided for hereunder, UL shall be responsible only for
a pro rata amount of the monies owed to date.
V. Evaluation
Dr. Joe Innovator will be appointed as an Assistant
Professor at the UL. He will be evaluated through the relevant personnel
policies at UL, including promotion and tenure.
VI. Assignment
As this Agreement is for the personal services of
Dr. Joe Innovator, said agreement shall not be assigned by either
party without the prior written consent of the other party and any
attempted assignment shall be null and void. Should Dr. Joe Innovator
be unwilling or unable to perform or complete performance of this
Agreement, UI shall bear no responsibility to provide a substitute
therefore nor incur any liability arising from Dr. Joe Innovator's
non-performance.
VII. Independent Contractor
The relationship of the parties is that of independent
contractors. Nothing herein is intended or will be construed to
establish any agency, partnership, or joint venture. Neither party
is authorized or empowered to act as agent for the other party for
any purpose and neither party shall be bound by the acts or conduct
of the other party.
VII. Agreement
This MOU embodies the whole agreement of the parties.
There are no promises, terms or obligations other than those contained
herein.
Modifications to this MOU, if any, that would change
the nature and direction of this agreement or the expectations of
the work to be performed shall be made in writing and signed by
all parties.
IN WITNESS WHEREOF, the parties whose signatures appear
below admit to having the authority to enter this agreement.
